Terms & Conditions

The terms governing use of Chatblix, operated by TD TECH PVT LTD.

This Terms & Conditions applies to Chatblix, a service operated by TD TECH PVT LTD, Rabibhawan, Kathmandu, Nepal. Contact: [email protected] / [email protected]. See also our Privacy Policy.

Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the Chatblix website at https://chatblix.com and the Chatblix application and related services (together, the "Service"). The Service is provided by TD TECH PVT LTD ("Chatblix", "we", "us", or "our"), a company registered in Nepal with its registered office at Rabibhawan, Kathmandu, Nepal.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using Chatblix on behalf of a business, you confirm that you are authorized to bind that business to these Terms. If you do not agree, do not use the Service.

Definitions

  • "Customer" / "you": the business or individual that holds a Chatblix account.
  • "End User": a person who communicates with you through a channel connected to Chatblix.
  • "Connected Channel": a third-party messaging account you link to Chatblix, such as WhatsApp Business, Facebook, Instagram, Telegram, TikTok, or Gmail.
  • "Customer Data": data you and your End Users submit to or generate through the Service, including messages and contact records.

Eligibility & Accounts

  • Eligibility: you must be at least 18 years old and capable of forming a binding contract.
  • Accurate information: you agree to provide accurate registration details and keep them up to date.
  • Account security: you are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
  • Team members: you are responsible for the actions of users you invite to your workspace.

Subscriptions, Trials & Billing

  • Plans: the Service is offered on subscription plans described at checkout or on our pricing page.
  • Free trial: where a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel beforehand.
  • Fees and renewals: subscriptions renew automatically for the same term unless cancelled before the renewal date. Fees are charged in advance through our payment processor.
  • Taxes: fees are exclusive of applicable taxes, which you are responsible for.
  • Changes: we may change pricing with prior notice; changes apply at your next renewal.

Acceptable Use

You agree to use the Service lawfully and not to:

  • send spam, unsolicited bulk messages, or communications to people who have not opted in to hear from you;
  • send unlawful, fraudulent, harassing, hateful, or infringing content;
  • violate the messaging, commerce, or developer policies of any Connected Channel;
  • attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • reverse engineer, resell, or misuse the Service or interfere with its operation;
  • use the Service to build a competing product or to scrape platform data.

We may suspend or limit accounts that violate this section to protect the Service, our users, or the connected platforms.

Third-Party Platforms & Compliance

Chatblix connects to third-party platforms through their official APIs. Your use of each Connected Channel is also subject to that platform's own terms and policies, and you are responsible for complying with them, including:

  • Meta: the WhatsApp Business Messaging Policy, Facebook and Instagram Platform Terms, and Commerce Policies, including opt-in and 24-hour messaging-window rules.
  • TikTok, Telegram, and Google: their respective developer, messaging, and acceptable-use policies.
  • Consent: you must obtain valid consent from End Users before messaging them where the platform or law requires it.

We are not responsible for changes a platform makes to its APIs or policies, or for a platform suspending or restricting your channel due to your use. Platforms may terminate API access, which can affect related Service features.

Customer Data & Privacy

As between you and Chatblix, you own your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service.

For personal data of your End Users, you act as the controller and Chatblix acts as your processor, handling that data according to your instructions and our Privacy Policy. You are responsible for having a lawful basis and any required consents to collect and process End User data through Chatblix. Our handling of personal data is described in our Privacy Policy.

AI Features

Chatblix offers AI-assisted replies, summaries, and insights. AI output may be inaccurate, incomplete, or unsuitable for a given situation. You are responsible for reviewing AI-generated content before relying on or sending it, and for ensuring your use of AI features complies with applicable law and platform policies. AI features are provided "as is" without warranty as to accuracy.

Intellectual Property

The Service, including its software, design, and trademarks, is owned by TD TECH PVT LTD and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, distribute, or create derivative works from the Service except as permitted by law. Feedback you provide may be used by us without obligation to you.

Service Availability & Changes

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, add, or discontinue features, and we may perform maintenance that temporarily affects availability. We will use reasonable efforts to notify you of material changes that adversely affect your use.

Termination

  • By you: you may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period.
  • By us: we may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the connected platforms.
  • Effect: on termination, your right to use the Service ends. You may request an export of your Customer Data before deletion, after which we will delete or de-identify it in line with our Privacy Policy and applicable law.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that messages will always be delivered, since delivery depends on third-party platforms outside our control.

Limitation of Liability

To the maximum extent permitted by law, Chatblix and TD TECH PVT LTD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless TD TECH PVT LTD and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, your messaging of End Users, or your violation of these Terms, applicable law, or any platform's policies.

Governing Law & Disputes

These Terms are governed by the laws of Nepal, without regard to conflict-of-law rules. The courts located in Kathmandu, Nepal will have jurisdiction over any dispute arising out of or relating to these Terms or the Service, unless mandatory local law gives you the right to bring proceedings elsewhere.

Changes to These Terms

We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and notify you by email or in-app notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
